Purpose

Why is this role needed, what need of the organization does it address, or how is it relevant within the organization?

Swiss law requires an "Aktiengesellschaft" to have a Board of Directors ("Verwaltungsrat") to fulfill statutory responsibilities and provide strategic oversight.

The Board executes its non-delegable duties including defining the organization, financial control, and overall strategic direction. It oversees the operational and strategic management within the VSHN organization as a business (VSHN Anchor Circle) while retaining ultimate legal responsibility for the company (as defined in the "Organisationsreglement" as a legally binding document).

  • Understanding of shareholder goals, translated into high-level vision, mission and goals for VSHN

  • Contribution to defining, tracking and reviewing company strategy
